These Terms of Use ("Terms") govern access to and use of ZAVERO Trade Network ("ZAVERO", "Platform", or "Service"), operated by ZAVERO Global Brokers ("ZAVERO", "we", "us", or "our").
By creating an account, accessing, or using the Platform, you agree to these Terms and the ZAVERO Privacy Policy. If you do not agree, do not create an account or use the Service.
If you use ZAVERO on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years old and legally capable of entering into these Terms. You must provide accurate, current, complete, and non-misleading information and keep your account information reasonably up to date.
You are responsible for protecting your credentials and for activity performed through your account. Do not create an account for another person without authorization, impersonate a person or company, create duplicate accounts to evade restrictions, or submit false verification information.
ZAVERO may require identity, company, ownership, beneficial-owner, business, or other verification information before enabling certain features. Verification does not guarantee the financial condition, legality, quality, reliability, or future performance of a member.
ZAVERO is a B2B trade network and marketplace designed to help businesses discover opportunities, buyers, suppliers, brokers, companies, tenders, auctions, trade services, and commercial counterparties.
Depending on the feature, ZAVERO may provide opportunities, buy requests, sell offers, company profiles, connections, messaging, broker introductions, tenders, reverse auctions, sell auctions, deal workspaces, billing, notifications, and trade-service workflows.
Unless a separate written agreement expressly says otherwise, ZAVERO is not the buyer, seller, importer, exporter, broker of record, carrier, insurer, warehouse operator, inspector, financial institution, or contracting party in a transaction between users.
A listing, directory entry, verification badge, ranking, recommendation, or other Platform presentation is not a guarantee of the underlying counterparty or transaction.
Users may publish buy requests, sell offers, opportunities, tender information, auction information, company information, and other commercial content.
You are responsible for the accuracy, legality, and authority of information you submit. You must have the necessary rights to publish documents, images, trademarks, product descriptions, and other material.
Public listings may expose selected information such as product category, product name, quantity, origin, destination, business type, verification status, or other information according to Platform settings. Sensitive identity and contact information may remain restricted and may be released only through applicable Platform controls, approvals, or user actions.
ZAVERO may moderate, restrict, remove, or refuse content that violates these Terms, applicable law, security requirements, or Platform rules.
The Company Directory may contain both ZAVERO member companies and external company records obtained from public or appropriately licensed business-data sources.
An external company record is not a ZAVERO member unless the company has registered or completed the applicable membership and verification process. ZAVERO may offer a "Claim this company" process. A claim does not itself establish verification; evidence of authority may be required.
Directory information may be incomplete, outdated, or inaccurate. Users must independently verify information before relying on it for a commercial decision.
ZAVERO may provide verification or KYC levels and may request documents or information for identity, company, ownership, sanctions, fraud, compliance, security, or risk purposes.
A verification status means only that the applicable ZAVERO process was completed to the stated level. It is not a guarantee of solvency, product quality, contractual performance, licensing, or future conduct.
ZAVERO may suspend or change verification when information expires, changes, becomes unreliable, or raises a legitimate compliance or security concern.
ZAVERO may allow users to submit connection requests and communicate through Platform messaging.
You must not use ZAVERO for spam, malware, deceptive messages, fraudulent offers, or unauthorized collection or disclosure of personal information.
The Platform may detect or flag attempts to circumvent contact-release controls or other protected commercial workflows, including attempts to move protected communications or transactions outside approved Platform processes.
Where broker features are available, brokers may facilitate introductions or commercial relationships under the applicable workflow and agreements.
Broker visibility, commissions, referrals, introductions, and deal participation may be subject to additional Platform rules or agreements. A broker profile or broker status is not a guarantee of licensing, financial condition, performance, or legal status.
ZAVERO may provide deal workspaces and workflows relating to shipment, warehouse, inspection, insurance, documentation, support, and other trade services.
Unless expressly agreed otherwise, these features do not make ZAVERO the carrier, insurer, warehouse operator, inspector, customs broker, service provider, or contracting party.
Users remain responsible for verifying specifications, quantities, quality, documents, delivery terms, payment terms, sanctions, import/export requirements, and the identity and authority of counterparties and service providers.
Some features may require a paid plan, subscription, usage fee, service fee, or other charge. Prices, plan features, limits, billing cycles, taxes, and refund rules are shown at the applicable billing or checkout interface and may be supplemented by separate commercial terms.
You authorize the applicable payment provider to process authorized charges. ZAVERO may change plans, pricing, limits, or features prospectively, subject to applicable law and contractual commitments.
You must not use ZAVERO to:
Users are responsible for determining whether their activities and transactions comply with applicable sanctions, export-control, import-control, customs, licensing, tax, anti-bribery, anti-money-laundering, and other trade laws.
ZAVERO may restrict, suspend, remove, or investigate accounts, listings, transactions, or communications where required by law or reasonably necessary for compliance, fraud prevention, security, or risk management.
You retain ownership of content that you lawfully own and submit to ZAVERO. You grant ZAVERO a non-exclusive, worldwide, limited license to host, store, reproduce, format, display, transmit, moderate, and otherwise process that content as necessary to operate, secure, improve, and provide the Platform and requested features.
You represent that you have sufficient rights to grant this license.
ZAVERO and its logos, software, interface, design, databases, trademarks, and other Platform materials are owned by or licensed to ZAVERO and are protected by applicable intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, reverse engineer, or commercially exploit them.
ZAVERO may integrate or link to third-party services, payment providers, communication services, hosting providers, verification providers, or other external services. Third-party services are subject to their own terms and privacy policies.
ZAVERO may modify, suspend, restrict, or discontinue features, plans, integrations, or availability. We do not guarantee uninterrupted, error-free, or universal availability. Maintenance, security updates, moderation, and database operations may temporarily affect availability.
ZAVERO may suspend or terminate access where reasonably necessary for security, fraud prevention, compliance, violation of these Terms, non-payment, misuse, or protection of users and the Platform, subject to applicable law.
You may stop using the Platform and request account closure through available account or support channels. Obligations that by their nature should survive termination may continue.
To the maximum extent permitted by applicable law, the Platform and its content are provided on an "as available" basis.
ZAVERO does not guarantee that a buyer or supplier will complete a transaction, a company will remain solvent or reputable, a product will meet specifications, a listing or document will be complete or accurate, an auction or tender will result in a contract, or a trade-service provider will perform as expected.
Users must conduct their own commercial, legal, technical, financial, sanctions, and counterparty due diligence.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
To the maximum extent permitted by applicable law, ZAVERO will not be liable for indirect, incidental, special, consequential, exemplary, or loss-of-profit damages arising from use of the Platform or transactions between users.
Where liability may lawfully be limited, ZAVERO's aggregate liability arising from the Platform will be limited to the amount paid by the affected user to ZAVERO for the relevant Platform service during the twelve months preceding the event giving rise to the claim, unless applicable law requires a different result.
To the extent permitted by law, you agree to indemnify and hold harmless ZAVERO and its officers, employees, contractors, and service providers from claims, losses, liabilities, costs, and reasonable expenses arising from your unlawful use of the Platform, violation of these Terms, your content, or your transactions with other users.
Users must respect information disclosed through protected Platform workflows and must not misuse confidential commercial or personal information obtained through ZAVERO. Nothing prevents compliance with a lawful order or mandatory legal requirement.
These Terms are subject to the laws and dispute-resolution rules applicable to the legal entity operating ZAVERO and the user's relationship with ZAVERO, except to the extent mandatory law provides otherwise.
Nothing in these Terms limits mandatory consumer, privacy, or other statutory rights that cannot lawfully be waived. Additional governing-law, jurisdiction, arbitration, or dispute-resolution terms may be provided in a separate written agreement.
We may update these Terms when the Platform, applicable law, or our services change. Material changes will be communicated through appropriate Platform or account notices where required. The updated Terms will show a new "Last updated" date.
